Terms of Service
IMPORTANT: GI Compass is a clinical decision support tool designed to assist licensed healthcare professionals. GI Compass does not practice medicine, does not provide medical advice to patients, and is not a substitute for professional medical judgment, clinical training, or the provider-patient relationship. All recommendations, outputs, and other information generated by the Service must be independently reviewed and verified by the treating clinician in light of the patient’s full clinical circumstances, current medical literature, applicable clinical guidelines, prescribing information, institutional protocols, and the clinician’s independent professional judgment before any patient care decision is made.
1. Acceptance of Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and GI Compass LLC, a North Carolina limited liability company (“GI Compass,” “Company,” “we,” “us,” or “our”). By creating an account, accessing, or using the GI Compass mobile application and associated services (collectively, the “Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you do not agree to these Terms, you must not access or use the Service.
If you access or use the Service on behalf of an organization, including a hospital, health system, medical practice, academic institution, or other entity, then “you” includes both you individually and that organization, and you represent that you have authority to bind that organization to these Terms.
Your continued use of the Service following the posting of any changes to these Terms constitutes acceptance of those changes. We will notify you of material changes via in-app notification or email to the address associated with your account.
2. Eligibility and Intended Users
2.1 Licensed Healthcare Professionals
GI Compass is designed for use by licensed physicians, advanced practice providers, and other qualified healthcare professionals acting within the scope of their professional license, training, institutional privileges, and applicable law. By using the Service, you represent that you hold an active, valid license to practice medicine or an allied health profession in the jurisdiction where you provide care, or that you are a trainee, including a medical student, resident, or fellow, using the Service under appropriate supervision. GI Compass does not undertake to verify your licensure, credentials, scope of practice, supervision status, or institutional privileges.
2.2 Age Requirement
You must be at least 18 years of age to create an account and use the Service.
2.3 Not for Patients or Consumers
GI Compass is not intended for use by patients, caregivers, or members of the general public for self-diagnosis or self-treatment. The outputs of the Service are designed to be interpreted by trained clinicians in the context of individual patient encounters.
3. Clinical Decision Support Disclaimer
3.1 Informational Purposes Only
The Service provides clinical decision support information and recommendations for review by qualified healthcare professionals. GI Compass does not provide medical advice to patients, does not diagnose or treat any disease or condition, and does not make or direct clinical decisions. All outputs are intended to support, and not replace, the independent professional judgment of the treating clinician.
3.2 No Replacement for Clinical Judgment
GI Compass is a support tool, not an autonomous decision-maker. The Service does not and cannot replace the clinician’s independent medical judgment, physical examination, diagnostic workup, or the provider–patient relationship. You are solely responsible for all clinical decisions made for your patients, regardless of whether those decisions are consistent with, or diverge from, the recommendations generated by the Service.
3.3 No Physician–Patient Relationship
Use of GI Compass does not create a physician–patient, provider–patient, or any other clinical relationship between the Company and any end user or patient. The Company does not practice medicine and does not provide clinical care.
3.4 Clinical Content Limitations
While we strive to keep clinical content current and accurate, medical knowledge evolves continuously. Guidelines are updated, new evidence emerges, and drug safety profiles change. The Service may not reflect the most recent updates at all times. Users are responsible for verifying all recommendations against current guidelines, institutional protocols, and the most recent prescribing information (package inserts) for all medications.
3.5 Transparent Clinical Logic
GI Compass’s clinical decision support is built on transparent, auditable logic derived from published clinical guidelines, peer-reviewed literature, and expert consensus. Where applicable, recommendations are traceable to cited source material or reference documentation made available through the Service. Where the Service uses statistical methods such as likelihood ratios or Bayesian reasoning, these are derived from published evidence and are disclosed in the Service’s reference materials. The Service may incorporate additional computational methods over time; any such methods will continue to present evidence transparently to enable independent clinician review.
3.6 Algorithmic Basis
GI Compass outputs are produced by deterministic, rule-based engines applied to published clinical guidelines and peer-reviewed evidence. Clinical recommendations generated by the Service are generally accompanied by citations or reference materials identifying the underlying clinical guideline, peer-reviewed publication, or evidentiary basis, where such source material is available and applicable. Users are responsible for independently reviewing and validating the basis for any recommendation before relying on it in patient care. The Service is intended to support, and not to replace, the clinician’s independent review of the basis for any clinical recommendation, consistent with Section 520(o)(1)(E) of the Federal Food, Drug, and Cosmetic Act.
4. User Accounts
4.1 Account Creation
To access the full functionality of the Service, you must create an account using a valid email address and password, or through a supported third-party authentication provider (Google or Apple). You are responsible for providing accurate and complete registration information.
4.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at [email protected] of any unauthorized use of your account or any other breach of security.
4.3 One Account Per User
Each account is intended for use by a single individual. You may not share your account credentials with others or allow others to access the Service through your account.
4.4 Updates
Because the Service runs locally on your device, you are responsible for installing updates and new versions of the Service as they become available through the applicable App Store. Updates may include corrections, revisions, or additions to clinical content, algorithms, drug information, security patches, or other functionality. Your failure to install available updates may result in the Service providing outdated, inaccurate, or incomplete clinical information. The Company disclaims all liability for any recommendations, outputs, or clinical content generated by any version of the Service other than the most current version available for download at the time of use. You acknowledge that running an outdated version of the Service is at your sole risk.
5. Subscriptions and Billing
5.1 Subscription Plans
GI Compass offers both free and paid subscription tiers. Certain modules and features are available only to paid subscribers. Details of current plans and pricing are available within the application and on our website.
5.2 Free Trial
New users may be eligible for a complimentary trial period upon account creation. During the trial period, you will have access to paid features at no charge. The duration of the trial period is specified at the time of sign-up.
For trials initiated through an app store, trial-to-paid conversion, notice, and billing are handled by the applicable app store and governed by that app store's terms, conditions, and policies.
For trials initiated through the GI Compass website or another direct payment method, the trial terms, including whether the trial will automatically convert to a paid subscription, the price that will apply after conversion, and how to cancel before conversion, will be disclosed before you provide your payment information. GI Compass will provide trial-conversion notices to the extent required by applicable law.
5.3 Promotional Access Codes
From time to time, the Company may issue promotional access codes that grant extended or complimentary access to paid features. Promotional codes are subject to any terms and conditions specified at the time of issuance, including usage limits and expiration dates. Promotional access may be revoked if the code was obtained fraudulently or in violation of its terms.
5.4 Billing and Renewal
Paid subscriptions may be purchased through the Apple App Store, Google Play, or our website using Stripe or another payment processor made available by GI Compass. Subscription availability, pricing, billing frequency, renewal terms, trial terms, cancellation methods, and refund rights may vary depending on where you purchase your subscription.
Before you complete a paid subscription purchase, the applicable app store or GI Compass checkout flow will clearly disclose the subscription price, billing frequency, renewal terms, cancellation method, and any applicable trial terms. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. By purchasing a subscription, you authorize the applicable app store or payment processor to charge your payment method for each renewal period until you cancel.
For subscriptions purchased through the GI Compass website or another direct payment method, by completing your purchase you provide your express affirmative consent to the automatic renewal terms presented to you at checkout, including the subscription price, billing frequency, renewal period, and cancellation method. GI Compass may maintain records of your consent as reasonably necessary to comply with applicable law.
5.5 Price Changes
Subscription prices may change from time to time. For subscriptions purchased through the Apple App Store or Google Play, price changes, notices, user consent, and related billing treatment are handled by the applicable app store and governed by the applicable app store’s terms, conditions, and policies.
For subscriptions purchased through our website or another direct payment method, we will provide notice of price changes before the new price takes effect. If you do not agree to the price change, you may cancel your subscription before the new price applies. If applicable law requires additional consent, notice, cancellation, or refund rights in connection with a price change, GI Compass will comply with those requirements.
5.6 Cancellation and Refunds
If you purchased your subscription through the Apple App Store or Google Play, you must cancel through the applicable app store’s subscription management settings. Cancellation and refunds for app store purchases are governed by the applicable app store’s terms, conditions, and policies. GI Compass cannot cancel app store subscriptions on your behalf and does not control app store refund decisions.
If you purchased your subscription through our website or another direct payment method, you may cancel online through the cancellation tools provided within your account, subscription, or billing settings on the GI Compass website, or by contacting us at [email protected]. GI Compass will not require you to call to cancel a subscription that you started online, and will not impose unreasonable obstacles to cancellation. Cancellation will take effect at the end of the then-current billing period unless otherwise stated at checkout or required by applicable law. Except as required by applicable law, fees are non-refundable and GI Compass does not provide prorated refunds for partial billing periods.
5.7 Renewal Notices and Trial Conversions
For subscriptions purchased through the Apple App Store or Google Play, renewal notices, trial-conversion notices, receipts, and related subscription communications are handled by the applicable app store and governed by that app store’s terms, conditions, and policies.
For subscriptions purchased through our website or another direct payment method, GI Compass will provide a post-purchase acknowledgment or receipt that includes the automatic renewal terms, subscription price, billing frequency, and cancellation information, in a form capable of being retained by you. GI Compass will also provide renewal notices, trial-conversion notices, and cancellation information to the extent required by applicable law.
5.8 Cross-Platform Access
A paid subscription purchased through any supported channel, including the Apple App Store, Google Play, or the GI Compass website, provides access to the Service across all supported platforms. If you purchased your subscription through one channel, you must manage, cancel, or seek refunds for that subscription through the same channel where the purchase was made. GI Compass is not responsible for subscriptions managed through an app store or payment processor that GI Compass does not control.
5.9 Free Tier
Certain modules may be available without a paid subscription. The specific free-tier scope is displayed within the application and may be updated from time to time.

7. Privacy and Data Handling
7.1 Privacy Policy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy at gicompass.app/privacy for details about how we collect, use, and protect your information.
7.2 No PHI Collection
The Service is designed so that clinical information entered by a user is processed locally on the user’s device and is not transmitted to or stored by GI Compass. The Service is not intended to receive, collect, store, maintain, or transmit protected health information or other patient-identifiable information. Users are solely responsible for ensuring that they do not enter protected health information or other patient-identifiable data into the Service.
7.3 Device Security
Because clinical information is processed and may be cached locally on your device, you are solely responsible for maintaining the physical security of your device and implementing appropriate security measures, including device encryption, passcode or biometric authentication, automatic screen lock, and timely installation of operating system security updates. 8. Intellectual Property
8.1 Ownership
As between you and GI Compass, GI Compass owns the Service, including its software, user interface, workflows, compilations, selection and arrangement of content, proprietary clinical logic, algorithms, data models, original explanatory materials, documentation, trademarks, and other proprietary materials. As between you and GI Compass, GI Compass owns its proprietary software, clinical logic, workflows, compilations, selection and arrangement of content, original explanatory materials, and other original elements of the Service.
8.4 Trademarks
“GI Compass” and associated logos are trademarks of GI Compass LLC. You may not use these marks without prior written permission.
8.5 Feedback
If you provide suggestions, comments, ideas, bug reports, clinical-content comments, or other feedback regarding the Service, you grant GI Compass a perpetual, irrevocable, worldwide, royalty-free, fully paid, sublicensable, and transferable right to use, reproduce, modify, distribute, display, perform, and otherwise exploit that feedback for any purpose without compensation or attribution to you, provided GI Compass will not identify you as the source of the feedback without your consent.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, THE COMPANY DOES NOT WARRANT:
- (a) THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS;
- (b) THAT ANY CLINICAL CONTENT, RECOMMENDATIONS, OR ALGORITHMS WILL BE ACCURATE, COMPLETE, CURRENT, OR APPROPRIATE FOR ANY PARTICULAR PATIENT OR CLINICAL SCENARIO;
- (c) THE ACCURACY OR RELIABILITY OF ANY DRUG INFORMATION, DOSING RECOMMENDATIONS, OR OTHER INFORMATION PROVIDED THROUGH THE SERVICE;
- (d) THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS; AND
- (e) THAT THE SERVICE WILL MATCH OR SATISFY ANY PARTICULAR RULE, POLICY, FORMULARY, INSURANCE REQUIREMENT, OR PRACTICE REQUIREMENT THAT APPLIES TO YOU, YOUR ORGANIZATION, OR YOUR PATIENTS.
10. Limitation of Liability
10.1 Exclusion of Consequential Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION: LOSS OF PROFITS, DATA, USE, OR GOODWILL; COST OF PROCUREMENT OF SUBSTITUTE SERVICES; OR ANY DAMAGES ARISING FROM OR RELATED TO PATIENT CARE DECISIONS, CLINICAL OUTCOMES, OR MEDICAL MALPRACTICE CLAIMS, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10.2 Aggregate Liability Cap
THE COMPANY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO THE COMPANY DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00).
10.3 Clinical Responsibility
You expressly acknowledge and agree that the Company bears no responsibility for clinical decisions made by users of the Service, patient outcomes, or any consequences arising from the use or misuse of information provided by the Service. The treating clinician retains full and sole responsibility for patient care at all times.
11. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, agents, and affiliates from and against any and all third-party claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or in connection with: (a) your misuse of the Service; (b) your violation of these Terms; (c) your violation of applicable law, regulation, professional standard, or institutional policy; (d) any patient care decision made in connection with the Service; (e) your submission or entry of protected health information, patient-identifiable information, or other prohibited data into the Service; (f) any allegation that content or data you submit to the Service infringes, misappropriates, or violates the rights of a third party; or (g) your use of the Service outside the scope permitted by these Terms.
GI Compass will provide you with notice of any indemnified claim, permit you to control the defense of the claim, and reasonably cooperate with you at your expense. You may not settle any claim in a manner that admits fault by GI Compass, imposes obligations on GI Compass, or affects GI Compass’s rights without GI Compass’s prior written consent. Your indemnification obligations do not apply to the extent a claim arises from GI Compass’s gross negligence, willful misconduct, or breach of these Terms.
12. Dispute Resolution
12.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of laws principles.
12.2 Mandatory Arbitration
You acknowledge that the Service is professional clinical decision support software intended for use in a commercial and professional healthcare context, and not a consumer product or household service.
Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. The arbitration shall take place in the State of North Carolina. Judgment on any arbitration award may be entered in any court of competent jurisdiction.
The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement. If you are using the Service primarily for personal, family, or household purposes, the AAA Consumer Arbitration Rules will apply to the extent required by AAA rules or applicable law. Otherwise, the AAA Commercial Arbitration Rules will apply.
12.3 Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a claim proceeds in court rather than in arbitration, you waive any right to a jury trial.
12.4 Opt-Out
You may opt out of the arbitration and class action waiver provisions of this Section 12 by sending written notice to [email protected] within thirty (30) days of first accepting these Terms. If you opt out, the remaining provisions of these Terms will continue to apply.
12.5 Severability
If the class action waiver in Section 12.3 is found unenforceable with respect to a particular claim or request for relief, then that claim or request for relief may proceed in court, but only after the arbitrator resolves all arbitrable claims and requests for relief.
13. Termination
13.1 Termination by You
You may terminate your account at any time by deleting your account through the application settings or by contacting us at [email protected].
13.2 Termination by Us
We may immediately suspend or terminate your account and access to the Service. Grounds for termination include, but are not limited to, violation of these Terms, nonpayment, or conduct that we reasonably believe may expose the Company to liability. If we terminate your account without cause and you purchased your subscription through an app store, any refund will be handled by the applicable app store and subject to that app store’s refund policies. If we terminate your account without cause and you purchased your subscription directly from GI Compass, we will provide any refund required by applicable law or as otherwise stated at the time of purchase.
13.3 Effect of Termination
Upon termination, your right to use the Service will immediately cease. Sections 3, 7, 8, 9, 10, 11, 12, 13.3, 19, 20, 21, 22, 25 and any other provisions that by their nature should survive termination will survive termination. The Service does not provide ongoing access to the account or Service following termination.
14. Modifications to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will provide at least thirty (30) days’ notice via in-app notification, email, or by prominently posting the revised Terms within the Service. If you do not agree to the revised Terms, you must discontinue use of the Service and terminate your account. If a material change adversely affects your rights or obligations, you may stop using the Service and cancel your subscription before the change becomes effective. Your continued use of the Service after the effective date of revised Terms constitutes acceptance of the revised Terms.
15. Modifications to the Service
We reserve the right to modify, update, or discontinue the Service (or any part thereof) at any time, with or without notice. This includes adding, removing, or modifying clinical modules, features, algorithms, or content. We will use reasonable efforts to provide advance notice of material changes to clinical content or features, but we are not obligated to maintain any particular feature or module.
16. Third-Party Services
The Service may integrate with or contain links to third-party services (such as authentication providers, payment processors, or analytics platforms). Your use of such third-party services is subject to their respective terms of service and privacy policies. The Company is not responsible for the availability, accuracy, or content of third-party services and does not endorse them. Third-party services are not part of the clinical recommendation functionality of the Service and should not be relied upon for clinical decision-making. Any analytics or diagnostic tools used in connection with the Service are not intended to collect clinical inputs, protected health information, or patient-identifiable information.
17. Electronic Communications
By creating an account, you consent to receive electronic communications from us, including emails regarding your account, subscription, and the Service. You may opt out of non-essential promotional communications at any time, but you may not opt out of transactional communications (such as account notices, subscription-related notices, Terms updates, or security notices) while your account is active.
18. Export Compliance
The Service is operated from the United States. You agree to comply with all applicable export and import laws and regulations. You may not access or use the Service from any jurisdiction where doing so would violate applicable law.
19. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.
20. Entire Agreement
These Terms, together with our Privacy Policy and any other agreements or supplemental terms expressly incorporated by reference, constitute the entire agreement between you and the Company regarding your use of the Service and supersede all prior or contemporaneous understandings, agreements, or communications, whether written or oral. Additional terms, order forms, enterprise agreements, app store terms, or platform terms may apply to particular features, subscriptions, access methods, or institutional arrangements. If GI Compass and your organization have entered into a separate written agreement governing access to or use of the Service, that separate agreement will control to the extent of any conflict with these Terms.
21. Waiver
The failure of the Company to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of the Company.
22. Assignment
You may not assign or transfer these Terms or your rights under these Terms without the prior written consent of the Company. The Company may assign or transfer these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
23. Financial Disclosures
The Company is independently owned and operated. Any material financial relationships with pharmaceutical manufacturers, medical device manufacturers, or other commercial entities that GI Compass determines in its sole discretion could influence clinical content within the Service will be disclosed within the Service. As of the Effective Date of these Terms, the Company has no such financial relationships.

- (g) For Apple device users, you acknowledge that your right to use the Service is limited to a non-transferable license to use the application on Apple branded devices you own or control and as otherwise permitted by Apple’s usage rules.
BY CREATING AN ACCOUNT OR USING GI COMPASS, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE.
